1. Acceptance of Terms
By accessing or using any Lume service, website, or software (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use our Services.
These Terms constitute a legally binding agreement between you ("User", "you") and Lume Ltd, a company registered in England and Wales ("Lume", "we", "us", "our").
2. Description of Services
Lume provides software-as-a-service products that act as a procurement assistant inside your existing email workflow — gathering quotes, communicating with vendors, and presenting summarised options for your approval. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Accounts & Registration
To access certain features you must create an account. You agree to:
- Provide accurate and complete registration information.
- Keep your password secure and not share it with third parties.
- Notify us immediately at security@lumetogether.co.uk if you suspect unauthorised access.
- Be responsible for all activity that occurs under your account.
You must be at least 16 years old to create an account. Accounts created on behalf of organisations represent that the person registering has authority to bind that organisation.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Transmit harmful, offensive, or infringing content.
- Attempt to gain unauthorised access to our systems or other users' accounts.
- Distribute malware, spam, or other malicious code.
- Scrape or harvest data without our prior written consent.
- Resell or sublicense access to the Services without authorisation.
We reserve the right to suspend or terminate accounts that violate this policy.
5. Intellectual Property
All content, software, trademarks, and materials made available through the Services are the property of Lume or its licensors and are protected by applicable intellectual property laws.
You retain ownership of any data or content you upload to the Services. By uploading content you grant Lume a limited, non-exclusive licence to store and process it solely for the purpose of providing the Services to you.
6. Privacy & Data
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the UK GDPR and applicable data protection law.
We will never sell your personal data to third parties. Data is processed only as necessary to operate the Services and as described in our Privacy Policy.
7. Payments & Billing
Paid plans are billed in advance on a monthly or annual basis. All prices are listed exclusive of VAT unless otherwise stated. You authorise us to charge your payment method at the start of each billing period.
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period; we do not issue pro-rata refunds except where required by law.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
To the fullest extent permitted by law, Lume's total liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim or (b) £100.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.
10. Termination
Either party may terminate these Terms at any time. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Services ceases immediately. You may export your data within 30 days of termination; after that period we may delete it.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence apply.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
